These Terms of Service ("Terms", "Agreement") constitute a binding agreement between you and AANI Solutions LLC for Information Technology (operating as Razza®) governing your access to and use of the Razza Platform, website, mobile applications, and marketplace.
By creating an account, subscribing to the Platform, or booking a service through the marketplace, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Services.
Agreement to terms #
These Terms apply to two categories of users:
- Business Subscribers — business entities and individuals (including Freelance Work Document holders) who subscribe to the Razza Platform to manage their salon, barbershop, spa, beauty clinic, or wellness business.
- End Users — consumers who access the Razza marketplace to discover, browse, or book beauty and wellness services.
Additional terms may apply to specific features (e.g. payment processing, promotional offers). Where additional terms apply, they form part of this Agreement.
Description of service #
Razza provides a cloud‑based Platform for managing beauty and wellness business operations, including:
- Appointment booking and calendar management.
- Staff scheduling, commissions, and performance tracking.
- Customer relationship management (CRM).
- Point‑of‑sale (POS) and payment processing.
- ZATCA Phase‑II compliant e‑invoicing.
- Business analytics, financial reporting, and market insights.
- A consumer‑facing marketplace enabling discovery and booking of services.
Razza may add, modify, or discontinue features from time to time. We will provide reasonable notice of any change that materially reduces functionality.
User accounts #
To access the Services you must create an account. You agree to provide accurate, complete, and current information during registration, and to keep it updated.
- You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
- You must notify Razza immediately of any unauthorized access or security breach.
- Business Subscribers must be authorized representatives of the registered business and may be required to submit verification documents (CR, VAT, national ID or Iqama, Freelance Work Document).
- End Users must be at least 18 years old, or have the consent of a legal guardian.
Razza reserves the right to suspend or terminate accounts where registration information is inaccurate, incomplete, or fraudulent.
Subscriber obligations #
In addition to the general obligations above, Business Subscribers agree to:
- Hold all licenses, permits, and registrations required by Saudi law to operate their business, including municipal licenses and health authority approvals where applicable.
- Accurately represent their services, pricing, and availability on the Razza marketplace.
- Honor bookings made through the Platform and deliver services in a professional and timely manner.
- Comply with ZATCA e‑invoicing requirements for all transactions processed through the Platform.
- Obtain valid consent from customers and staff for any personal data uploaded to the Platform, in line with PDPL.
- Not use the Platform to process transactions unrelated to the business activity registered with Razza.
Acceptable use #
You agree not to:
- Use the Services for any unlawful purpose or in violation of Saudi law, including the Anti‑Cybercrime Law and PDPL.
- Infringe on the intellectual property, privacy, or other rights of any person.
- Upload or transmit viruses, malware, or any harmful code.
- Attempt to reverse‑engineer, decompile, or gain unauthorized access to the Platform or any associated systems.
- Scrape, crawl, or systematically extract data from the marketplace without express written permission.
- Impersonate any person or entity, or misrepresent your affiliation with any business.
- Interfere with or disrupt the Platform, its servers, or connected networks.
- Use the Platform to send unsolicited communications (spam) to customers.
Violation of this section may result in immediate suspension or termination of your account, without refund, and may be reported to competent Saudi authorities.
Payments & billing #
6.1 Subscription fees
Subscription fees are billed in advance on a monthly or annual basis, as elected at checkout. All fees are quoted in Saudi Riyals (SAR) and are exclusive of VAT unless stated otherwise. VAT is added at the prevailing rate.
6.2 Refunds
Subscription fees are non‑refundable except where required by applicable law. Where a refund is due, it will be processed to the original payment method within 14 business days.
6.3 Marketplace transactions
Razza may process end‑user payments on behalf of Business Subscribers, acting as a payment facilitator. Marketplace fees, if any, are deducted before settlement. Settlement is made to the Subscriber's verified Saudi IBAN on the agreed cadence.
6.4 Late payment
If a subscription fee remains unpaid for more than 7 days after the due date, Razza may suspend the account. Access is restored upon full payment of outstanding amounts.
6.5 Price changes
Razza reserves the right to change subscription pricing with at least 30 days' written notice to existing subscribers. Changes take effect at the start of the next billing cycle.
Intellectual property #
All intellectual property rights in the Platform — including software, design, trademarks, logos, content, and documentation — are owned by or licensed to AANI Solutions LLC. The Razza® trademark is registered with the Saudi Authority for Intellectual Property (SAIP No. TM‑01‑00‑51379‑25).
Subscribers retain ownership of all data, content, and materials they upload to the Platform ("Subscriber Content"). By uploading Subscriber Content you grant Razza a limited, non‑exclusive, royalty‑free license to host, process, display, and transmit that Content solely to provide the Services.
You may not copy, reproduce, distribute, publicly display, or create derivative works from any Razza IP without our prior written consent.
Limitation of liability #
To the maximum extent permitted by Saudi law:
- Razza's total aggregate liability in respect of all claims arising under or in connection with these Terms will not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.
- Razza shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost revenue, lost data, loss of goodwill, or business interruption — even if Razza has been advised of the possibility of such damages.
- Razza is not responsible for the conduct, quality, or safety of any service delivered by a Business Subscriber to an end user. The contract for the beauty or wellness service itself is between the Subscriber and the end user.
Nothing in this section limits liability for fraud, willful misconduct, or any liability that cannot be limited under Saudi law.
Warranties & disclaimers #
Razza uses reasonable commercial efforts to provide the Platform with high availability and performance. However:
- The Services are provided on an "as‑is" and "as‑available" basis.
- Razza does not warrant that the Services will be uninterrupted, error‑free, or free from security vulnerabilities.
- Razza does not warrant that the Services will meet your specific business requirements.
Scheduled maintenance will be communicated in advance where practicable. Emergency maintenance may be carried out without notice to preserve security or integrity of the Platform.
Termination #
Either party may terminate this Agreement as follows:
- By you — at any time, by canceling your subscription from within the Platform or by written notice to Razza. Termination takes effect at the end of the current billing cycle.
- By Razza for cause — immediately, upon written notice, where you materially breach these Terms and fail to cure the breach within 14 days (or immediately, where breach cannot be cured or where required by law).
- By Razza for convenience — on 30 days' written notice, with a pro‑rata refund of any prepaid, unused subscription fees.
Upon termination, your access to the Platform ends. Subscribers may export their data for 30 days after termination. Thereafter, Subscriber Content is deleted or anonymized in accordance with the Privacy Policy and applicable law.
Governing law & disputes #
This Agreement is governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.
Any dispute, claim, or controversy arising out of or relating to this Agreement — including its existence, validity, interpretation, performance, breach, or termination — shall be submitted to the competent courts of the Kingdom of Saudi Arabia.
The parties will first attempt in good faith to resolve any dispute through negotiation for a period of 30 days before initiating legal proceedings.
Changes to these terms & contact #
Changes
Razza may update these Terms from time to time. Material changes will be communicated to registered users by email or a prominent notice on the Platform at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
